Terms of Service

Welcome to Furca. These Terms of Service ("Terms") govern your access to and use of the Furca platform, including our Chrome extension, web application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Acceptance of Terms

1. Agreement to Terms

  • By creating an account, installing the Chrome extension, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms
  • These Terms constitute a legally binding agreement between you and Furca
  • If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms

2. Modifications to Terms

  • We reserve the right to modify these Terms at any time
  • We will notify you of material changes by email or through the Service at least 30 days before they take effect
  • Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms
  • If you do not agree to the modified Terms, you must stop using the Service

3. Eligibility

  • You must be at least 18 years old to use the Service
  • You must be authorized to access patient information in a dental practice setting
  • You must have legal authority to agree to these Terms on behalf of yourself or your organization

Service Description

Furca provides a dental specialty referral management platform designed to help dental practices track, manage, and optimize their referral workflows.

1. Chrome Extension

  • A browser extension that integrates directly with Dentrix Ascend
  • Enables creation and management of referrals from within patient charts
  • Provides real-time status tracking and notifications
  • Automatically links appointments to referrals via API integration

2. Web Dashboard

  • Centralized command center for referral management across locations
  • Analytics and reporting tools for practice performance insights
  • Patient outreach and follow-up management capabilities
  • Multi-location visibility for DSO networks

3. Dentrix Ascend Integration

  • The Service is designed to work with Dentrix Ascend practice management software
  • Integration functionality depends on your Dentrix Ascend subscription and API access
  • Furca is not affiliated with or endorsed by Henry Schein One or Dentrix

Account Responsibilities

1. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the accuracy of your account information
  • One account per individual user; sharing accounts is prohibited

2. Credential Security

  • You are solely responsible for safeguarding your login credentials
  • You must immediately notify us of any unauthorized access to your account
  • You are responsible for all activities that occur under your account
  • Do not share your password or allow others to access your account

3. Organization Administrators

  • Organization administrators are responsible for managing user access within their organization
  • Administrators must promptly remove access for users who leave the organization
  • Administrators are responsible for ensuring users comply with these Terms
  • Organization-level settings and permissions are managed by designated administrators

Subscription and Payments

1. Subscription Plans

  • Access to the Service requires an active subscription
  • Subscription plans, features, and pricing are described on our website
  • We may offer different tiers of service with varying features and capabilities

2. Billing and Payment

  • Subscription fees are billed in advance on a monthly or annual basis
  • You authorize us to charge your designated payment method for all applicable fees
  • All fees are non-refundable except as expressly stated in these Terms
  • You are responsible for all taxes associated with your subscription

3. Auto-Renewal

  • Subscriptions automatically renew at the end of each billing period
  • You may cancel auto-renewal at any time through your account settings
  • Cancellation takes effect at the end of the current billing period

4. Price Changes

  • We may change subscription prices with at least 30 days advance notice
  • Price changes will take effect at the start of your next billing period
  • If you do not agree to a price change, you may cancel before it takes effect

5. Late Payment

  • If payment fails, we will attempt to charge your payment method again
  • After multiple failed attempts, your access to the Service may be suspended
  • We may charge late fees or interest on overdue amounts as permitted by law

Acceptable Use

1. Permitted Uses

  • Managing dental specialty referrals within your authorized dental practice(s)
  • Tracking patient appointments and referral statuses
  • Generating reports for practice management and compliance purposes
  • Communicating with patients regarding their referrals (with proper consent)

2. Prohibited Activities

You agree NOT to:

  • Access patient information without proper authorization
  • Share your account credentials with others
  • Attempt to gain unauthorized access to any part of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to develop a competing product
  • Scrape, harvest, or collect data from the Service using automated means
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or harmful content
  • Use the Service for any unlawful purpose
  • Violate any applicable healthcare regulations, including HIPAA
  • Resell, sublicense, or transfer your access to the Service

3. Enforcement

  • We reserve the right to investigate suspected violations of these Terms
  • We may suspend or terminate accounts that violate the acceptable use policy
  • We may report illegal activities to appropriate authorities

Healthcare Compliance

1. HIPAA Compliance

  • Furca is designed to support HIPAA-compliant workflows for covered entities
  • We implement appropriate administrative, physical, and technical safeguards for protected health information (PHI)
  • We maintain access controls and audit logs as required
  • Our security practices are designed to meet HIPAA Security Rule requirements

2. Business Associate Agreement

  • If your organization is a HIPAA covered entity, a Business Associate Agreement (BAA) is required
  • The BAA governs our handling of PHI on your behalf
  • Please contact us at legal@getfurca.com to execute a BAA
  • You may not use the Service with PHI until a BAA is in place

3. Your Compliance Responsibilities

  • You are responsible for ensuring your use of the Service complies with HIPAA and other applicable laws
  • You must train your staff on proper use of the Service in accordance with your privacy policies
  • You must maintain appropriate access controls within your organization
  • You are responsible for obtaining any necessary patient consents
  • You must promptly report any suspected security incidents to us

4. Data Breach Notification

  • We will notify you of any breach of unsecured PHI as required by law
  • Notification will occur within 60 days of discovery of a breach
  • We will cooperate with your breach investigation and response efforts

Intellectual Property

1. Furca Ownership

  • The Service, including all software, designs, text, graphics, and other content, is owned by Furca
  • The Furca name, logo, and all related trademarks are our exclusive property
  • All rights not expressly granted in these Terms are reserved

2. License Grant

  • We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service
  • This license is solely for your internal business purposes in accordance with these Terms
  • This license does not include the right to modify, copy, or create derivative works
  • The license terminates immediately upon termination of your subscription

3. Restrictions

  • You may not copy, modify, or distribute the Service or any part thereof
  • You may not remove or alter any proprietary notices or labels
  • You may not use our trademarks without prior written permission
  • You may not use the Service to train artificial intelligence or machine learning models

4. Feedback

  • If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without restriction or compensation
  • We may incorporate feedback into the Service without obligation to you

Data Ownership

1. Your Data

  • You retain ownership of all data you input into the Service ("Your Data")
  • Your Data includes referral information, patient data, notes, and other content you create
  • We do not claim ownership of Your Data

2. License to Your Data

  • You grant us a limited license to use Your Data solely to provide and improve the Service
  • This license includes hosting, processing, and displaying Your Data as necessary
  • We will not sell Your Data or use it for advertising purposes

3. Data Portability

  • You may request an export of Your Data at any time
  • We will provide Your Data in a commonly used, machine-readable format
  • Data export requests will be fulfilled within 30 days

4. Aggregated Data

  • We may create anonymized, aggregated data from Your Data for analytics and improvement purposes
  • Aggregated data will not identify you, your organization, or any patients
  • We own all aggregated data and may use it without restriction

Third-Party Services

1. Dentrix Ascend

  • The Service integrates with Dentrix Ascend, which is owned and operated by Henry Schein One
  • Your use of Dentrix Ascend is subject to your separate agreement with Henry Schein One
  • We are not responsible for the availability, accuracy, or functionality of Dentrix Ascend
  • Changes to Dentrix Ascend may affect the Service functionality

2. Cloud Infrastructure

  • The Service is hosted on Amazon Web Services (AWS)
  • We use AWS Cognito for authentication services
  • Our use of these services is governed by our agreements with the respective providers

3. Third-Party Disclaimers

  • We are not responsible for outages or issues caused by third-party services
  • Third-party services are provided "as is" without warranty
  • Your use of third-party services is at your own risk

Service Availability

1. Uptime

  • We strive to maintain high availability of the Service
  • We do not guarantee uninterrupted or error-free operation
  • Specific uptime commitments may be available in enterprise agreements

2. Scheduled Maintenance

  • We may perform scheduled maintenance that temporarily affects Service availability
  • We will provide advance notice of planned maintenance when possible
  • Maintenance windows are typically scheduled during off-peak hours

3. Service Modifications

  • We may modify, update, or discontinue features of the Service at any time
  • We will provide reasonable notice of material changes
  • We are not liable for any modification, suspension, or discontinuation of the Service

4. Support

  • Technical support is available via email at support@getfurca.com
  • Support response times vary based on subscription tier
  • We aim to respond to all support requests within one business day

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

1. No Warranty

  • We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • We do not warrant that the Service will be uninterrupted, secure, or error-free
  • We do not warrant that defects will be corrected or that the Service is free of viruses

2. No Medical Advice

  • The Service is an administrative tool and does not provide medical or dental advice
  • All clinical decisions remain the responsibility of licensed healthcare providers
  • The Service is not intended to diagnose, treat, or prevent any medical condition

3. No Revenue Guarantees

  • While the Service may help improve referral tracking and management, we make no guarantees about revenue outcomes
  • Results depend on many factors outside our control, including patient behavior and practice operations

4. Data Accuracy

  • We do not guarantee the accuracy of data imported from Dentrix Ascend or other sources
  • You are responsible for verifying the accuracy of information in the Service

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FURCA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

1. Exclusion of Damages

We shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Cost of procurement of substitute services
  • Damages arising from unauthorized access to your account

2. Specific Exclusions

  • We are not liable for failures caused by Dentrix Ascend or other third-party services
  • We are not liable for your failure to comply with HIPAA or other regulations
  • We are not liable for clinical decisions made based on data in the Service
  • We are not liable for actions taken by your employees or authorized users

3. Basis of the Bargain

  • These limitations apply regardless of the legal theory (contract, tort, or otherwise)
  • These limitations apply even if we were advised of the possibility of such damages
  • The limitations in this section are essential to the pricing of the Service

Indemnification

1. Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Furca and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your violation of HIPAA or other healthcare regulations
  • Your misuse of the Service
  • Your violation of any third-party rights
  • Actions taken by users under your organization's account
  • Any data you submit to the Service

2. Indemnification Process

  • We will promptly notify you of any claim subject to indemnification
  • You will have control of the defense, subject to our approval of counsel
  • We may participate in the defense at our own expense
  • You may not settle any claim without our prior written consent

Termination

1. Termination by You

  • You may terminate your subscription at any time through your account settings
  • Termination takes effect at the end of your current billing period
  • No refunds are provided for partial billing periods

2. Termination by Furca

We may terminate or suspend your access immediately if:

  • You breach any provision of these Terms
  • You fail to pay applicable fees
  • We are required to do so by law
  • Your use poses a security risk to the Service or other users
  • Your account has been inactive for an extended period

3. Effect of Termination

  • Upon termination, your right to access the Service immediately ceases
  • You will have 30 days to request an export of Your Data
  • After 30 days, we may delete Your Data from our systems
  • We will retain data as required by law or our BAA obligations

4. Surviving Provisions

  • The following sections survive termination: Intellectual Property, Data Ownership, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution
  • Any accrued rights or obligations also survive termination

Dispute Resolution

1. Governing Law

  • These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles
  • The United Nations Convention on Contracts for the International Sale of Goods does not apply

2. Informal Resolution

  • Before filing any formal dispute, you agree to contact us and attempt to resolve the dispute informally
  • Contact us at legal@getfurca.com with a description of the dispute
  • We will attempt to resolve the dispute within 30 days

3. Binding Arbitration

  • Any dispute not resolved informally shall be resolved by binding arbitration
  • Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
  • Arbitration will take place in Chicago, Illinois, or remotely at your election
  • The arbitrator's decision will be final and binding

4. Class Action Waiver

  • You agree to resolve disputes on an individual basis only
  • You waive the right to participate in class actions or class arbitrations
  • You waive the right to bring claims as a representative or member of a class

5. Exceptions

  • Either party may seek injunctive relief in court for intellectual property violations
  • Small claims court actions are exempt from arbitration requirements

Entire Agreement

These Terms, together with our Privacy Policy and any applicable BAA, constitute the entire agreement between you and Furca regarding the Service. These Terms supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to reflect the parties' original intent.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later. Any waiver must be in writing and signed by Furca.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

Notices

We may provide notices to you by:

  • • Email to the address associated with your account
  • • Posting a notice in the Service
  • • Posting on our website

Notices sent by email are effective when sent. You must send notices to us at legal@getfurca.com.

Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, pandemic, war, terrorism, riots, power outages, or telecommunications failures.
